Ahmad Edham Abdulwani Bin Mohamad
The firm through Ahmad Edham was instrumental as the main team player in the first urban-redevelopment project in Kampung Kerinchi with gross-development-value (“GDV”) of RM2 Billion. Undoubtedly, the project is the first successfully implemented urban-redevelopment project in Kuala Lumpur. He is currently advising several new redevelopment projects of the same scale.
The firm through Ahmad Edham had also been appointed as the lead Solicitors for one public listed company for end-financing documentation in one of the biggest Malaysian development project in Melbourne, Australia known as “the Istana”.
Ahmad Edham had also involved in Felda Global Ventures Holdings Sdn Bhd (“FGV”) take-over of Felda Holding Berhad (“FHB”), which has been considered as the biggest company take-over in Malaysia for the year 2013 involving transfer value of RM2.2 Billion.
Corporate & Conveyancing
- Preparing corporate & business loan documentation for various financial institution for a substantial sum of facility ranging from RM500 million to RM1billion per year.
- Preparing corporate & business loan documentation for Islamic financing under the concept of BBA, Revolving Mudharabah, Musyarakah, Ijarah, Istisna, Cash Note, Letter of Credit, Letter of Guarantee etc for various financial institution. (reference: Business Banking, Bank Islam Malaysia Berhad).
- Preparing loan documentation for foreign Islamic Bank, Al Rajhi Bank under the concept of Tawarruk. This is the new concept of Islamic Banking introduce in Malaysia (reference: Legal Department, Al Rajhi Bank).
- Preparing a Joint Venture Agreement between Yayasan Kelantan Darulnaim and First Nation Plantation for Palm Oil Plantation.
- Preparing a joint venture agreement, event management agreement, sponsorship agreement, promoter agreement and etc for Perbadanan Stadium Merdeka.
- Preparing a loan documentation for RM100 million facility granted by Bank Islam Malaysia Berhad to Felcra Sdn Bhd
- Preparing corporate loan documentation for facility of RM1 million above for several financial institution
- Conducting due diligence exercise for venture capital investment for Pembangunan Ekuiti Sdn Bhd.
Banking Matters
- Preparing and attending to the conventional loans and Islamic banking facilities documentation until advising the Bank for the loan facilities for the individual as well as for companies for various banks such as Malayan Banking Berhad, Mayban Finance Berhad, RHB Bank Berhad, Arab-Malaysian Bank Berhad, Arab Malaysian Finance Bank Berhad, Bumiputra Commerce Bank Berhad, Bank Kerjasama Rakyat Malaysia Berhad, Bank Simpanan Nasional Berhad, Affin Bank Berhad, Bouestead Credit Sdn Bhd, Bank Muamalat Malaysia Berhad and others.
Litigation
Ahmad Edham is known for his creative approach and outside-of-the-box thinking, making him among the most successful litigator in a niche area of practice. He had been appointed as counsel for numerous litigation cases including Anton Pillar & Mareva Injuction related cases. He had personally conducted a full-blown trial in a landmark copyright’s case in Malaysia against the biggest broadcasting/television network company in Malaysia. The case of SALEHA HUSSIN LWN AB WAHID NASIR & YANG LAIN (2004) 2 CLJ 2004, had then changed the scope of copyright law in Malaysia, and had been referred by scholars and academician in numerous field of study.
In summary Ahmad Edham has the following experiences:-
- Suit against one Japanese company by EPF on issue whether commission is interpreted as income that need to be contributed to EPF. Both Lower and High Court has decided on our clients favour.
- Suit by our clients against Petronas Dagangan Berhad with respect breach of contract where the amount of claim amounted to RM5.0 Million. After few days of trial, PDB decided to settle the matter.
- Suit and Injunction against one company for breach of Agreement with respect to listing exercise. The case is settled on the hearing of injunction applications. The case was filed in shah Alam High Court
- Mareva and Antor Pillar Injunction with respect to dispute in out lucrative legal firm in Johor Bharu. The case is now pending for full trial.
- Contested Bankruptcy on the issue of whether vehicle under Hire Purchase is a security. (Please refer to the case of RE MOHAMAD SUPARDI MD NOOR; EX P PUBLIC FINANCE BHD [2004] 4 CLJ 646).
- Attending to retail banking facilities recovery of debts collection arising from personal loan, credit card, revolving credit, hire purchase and other normal retail banking litigation.
- Attending to execute proceedings ranging from Judgment Debtor Summons, Writ of Seizure & Sale, Writ of Possession, Bankruptcy and Winding Up.
